HMS Networks takes over Molex Division

HMS Networks is acquiring significant parts of Molex's Industrial Communications division. The acquisition includes IP rights, development sites and an existing product portfolio in industrial communications. Closing is expected in January 2026.

HMS Networks has signed a binding agreement to acquire key assets of Molex's Industrial Communications business. Molex is a global electronics manufacturer with more than 50,000 employees in 38 countries.

The acquisition includes intellectual property in hardware and software, a portfolio of network cards and software stacks, customer relationships, particularly in the USA and Japan, as well as development sites in Waterloo (Canada) and Le Thuit Anger (France). The French company Woodhead Software & Electronics is also included.

Strategically, HMS is thus strengthening its technology base in the field of industrial network solutions and expanding its access to the North American market. The existing customer base is expected to deliver more than USD 10 million in annual sales and a positive EBITA contribution in the future. The purchase price is USD 7 million on a cash and debt-free basis; payment will be made in cash upon closing. The transaction is expected to close in January 2026.
